Terms of service
The agreement between you and us. It is written to be read — short sentences, numbered clauses, no capitals shouting at you from the middle of a paragraph.
The two that matter most: clause 5, on who is professionally responsible for a quantity, and clause 6, on who owns your drawings.

1This agreement
These terms are between you — the company whose workspace this is — and AI Agentiva FZC LLC, licensed by the Ajman Free Zone Authority under trade licence 262906536888 and registered at CWS-2V-321457, 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates.
You accept them by creating a workspace or by using the service. If you are accepting on behalf of a company, you confirm you may bind it.
The privacy policy and the refunds and cancellation policy form part of this agreement.
2What the service does
TrueQty reads extra-low-voltage drawings, proposes quantities, lets your team verify and approve them, and produces a bill of quantities, a cable schedule and a proposal.
It proposes. Your people decide. Nothing reaches a priced bill without somebody in your organisation reviewing and approving it, and the product records who did. That is the design, not a limitation of the current version.
3Your account
Keeping it secure
You are responsible for who you invite and what role you give them. Seats are per person — sharing one login between several estimators is not permitted, and it also destroys the audit trail you are paying for.
Tell us promptly if you think an account has been compromised.
What you may not do
Do not upload material you have no right to process. Do not attempt to reach another customer’s workspace, probe the service for weaknesses without asking us first, or resell access.
We rate-limit sign-ups and analysis runs to keep the service usable for everyone. The limits are set well above normal use; if you hit one in the course of real work, tell us and we will raise it.
4Plans, payment and tax
Plans, their allowances and their prices are on the pricing page. Subscriptions are monthly and renew automatically until cancelled.
Payment is taken by Stripe. Card details are entered directly with them and never reach our servers.
A free trial runs for 14 days and does not require a card to start. If you add a card during the trial we tell you the exact date and amount of the first charge before it happens, and email you again three days before it does.
Tax
Prices are stated exclusive of any tax that may apply. We are not currently registered for UAE VAT, so no VAT is added to your invoice today. If that changes, tax will be calculated and shown on the invoice, and we will tell you before the first invoice that carries it.
Allowances
Each plan includes a number of drawings read per billing period, a number of seats, and a number of active projects. Usage is visible on your account screen at all times, and a limit is enforced before the work runs rather than billed as a surprise afterwards.
Usage carries across a plan change. Upgrading mid-period gives you the new plan’s allowance less what you have already used — we show you that figure before you confirm.
5Professional responsibility
TrueQty is a tool used by qualified people. It does not take professional responsibility for a quantity, a price or a tender, and it is not a substitute for the judgement of an estimator or engineer.
Every quantity the platform proposes is reviewed and approved by a named person in your organisation before it can be priced. That person’s approval is what makes the number yours — which is exactly how a take-off has always worked, and why the product is built to record it.
You remain responsible for checking the output against the drawings, for the correctness of what you submit, and for any commercial decision you take on the strength of it. We are not liable for a tender won or lost, a quantity mis-stated, or a contract entered into.
This is not boilerplate to shield us from a bad product. It is a statement of where responsibility sits in professional work, and the product’s entire approval and audit design follows from it.
6Who owns what
Your drawings stay yours
You keep all rights in everything you upload and in everything the platform derives from it — the counts, the bills, the schedules, the proposals. We claim no ownership of any of it.
You grant us only the licence we need to run the service for you: to store, process, display and back up your material so the product can do its job. That licence ends when you delete the data.
We do not train on your drawings
We do not use your drawings, quantities or documents to train any model, and we do not permit a provider to do so. Where a configured model provider is used at all — see privacy clause 4 — it is under terms that prohibit training on submitted data.
If we ever want to use customer material to improve the product, we will ask for that permission separately and specifically. It will never arrive as a quiet change to these terms.
The platform stays ours
The software, the interface, the rules and the brand remain ours. You get the right to use the service while you are subscribed; you do not get a licence to copy it.
If you send us feedback, we may use it to improve the product without owing you anything for it. That is only about feedback — it is not a route around the clauses above.
7Availability
We work to keep the service available and we do not promise a specific uptime figure, because a number we have not measured and cannot pay out against would be decoration. If you need a contractual service level, talk to us before you commit to a tender programme that depends on one.
We may take the service down for maintenance. Where it is planned and would interrupt you, we give notice.
8Liability
Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not allow to be limited.
Subject to that, our total liability in any twelve-month period is limited to the fees you paid us in that period. We are not liable for lost profit, lost business, lost tenders or indirect loss.
We are stating this plainly rather than hiding it: a software subscription costing a few hundred dirhams a month cannot underwrite the commercial risk of a construction tender, and any supplier who implies otherwise is not being straight with you.
9Ending it
You can cancel at any time from the account screen. What happens to your billing and your data is in the refunds and cancellation policy.
We may suspend or end an account that breaches these terms, that is being used to attack the service, or whose invoices go unpaid after we have told you and given you a reasonable chance to fix it. Except where the breach is serious and deliberate, we will warn you first.
If we end your account, you still get your data back on the terms in the refunds policy. We do not hold a customer’s drawings hostage over a billing dispute.
10Changes to these terms
We may change these terms. For a material change we email the workspace owner at least 30 days beforehand, and if you do not accept it you may cancel before it takes effect without penalty.
The date at the top is the version you are bound by.
11Law and disputes
This agreement is governed by the laws of the United Arab Emirates, and the courts of Ajman have exclusive jurisdiction.
We are licensed by the Ajman Free Zone Authority, which — unlike the DIFC and the ADGM — operates no separate court system of its own. So this names the onshore courts of the emirate, which is where a dispute would be heard in any event rather than a forum we have selected.
Before either of us goes to court, we each agree to raise the problem in writing and give the other 30 days to put it right. Most disputes are a misunderstanding that a conversation resolves.
